Billing offer for new Trucking OS subscriptions updated October 17, 2026. Existing subscriptions remain subject to the terms accepted at signup until any applicable notice period for changes has elapsed.

These Terms of Service ("Terms") govern your access to and use of athenaiqtech.com and AthenaIQ's software and services, including Trucking OS (the "Services"), provided by AthenaIQ Technologies LLC ("AthenaIQ," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms. If you use the Services for a company, you confirm you have authority to bind that company, and "you" means that company.

1. Eligibility and business use

The Services are for business use. You must be at least 18 years old and able to form a binding contract.

2. Accounts

You are responsible for your account, for keeping login credentials secure, and for all activity under your account. Account administrators control which users can access your organization's account and what they can do. Tell us promptly at info@athenaiqtech.com if you suspect unauthorized access.

3. Subscriptions and payment

• Upfront payment. New Trucking OS subscriptions require payment upfront for the selected monthly or annual billing period. No free trial is offered. Review the amount due and renewal terms before confirming payment.
• Subscriptions. Subscriptions renew automatically at the end of each billing period (monthly or annual) until canceled.
• Fees. You agree to pay the fees for your plan, plus applicable taxes. Payments are processed by Stripe. We may change fees with at least 30 days' notice before your next renewal.
• Promotions. Promotional pricing (for example, founding-customer pricing) applies only as stated in the offer.
• Late or failed payments. If a payment fails, we may retry the charge and may suspend the Services after notice if the balance remains unpaid.
• Cancellation. You can cancel anytime by emailing info@athenaiqtech.com. Cancellation takes effect at the end of the current billing period.
• Refunds. There are no refunds for partial billing periods except where required by law.

4. Your data

• Ownership. You own the data you and your users enter into the Services ("Customer Data").
• Our use. You give us permission to host, process, and use Customer Data only to provide, secure, support, and improve the Services, and as described in our Privacy Policy.
• Your responsibilities. You are responsible for the accuracy of Customer Data and for having the rights and any notices or consents needed to put it into the Services, including information about your drivers and employees.
• Export and deletion. You can export your data while your subscription is active. When cancellation takes effect at the end of your current billing period, we will keep Customer Data for 30 days so you can export it, then delete it, except where retention is required by law. Records of your communications with AthenaIQ and your consent and opt-out records follow the separate retention periods in our Privacy Policy; they are not part of this 30-day export window.

5. Acceptable use

You agree not to:

• Use the Services for anything illegal, fraudulent, or harmful;
• Access or try to access another customer's data or accounts;
• Interfere with or disrupt the Services, or attempt to bypass security;
• Reverse engineer, copy, or resell the Services except as allowed by law or with our written permission;
• Upload malware or content you don't have the right to use; or
• Use the Services to send unsolicited messages or to contact people without any consent the law requires.

We may suspend access that violates these Terms or puts the Services or other customers at risk.

6. AI features and important limitations

The Services may include artificial intelligence features, such as AI assistants, summaries, document processing, and suggestions. AI output can be inaccurate or incomplete. You are responsible for reviewing it before relying on it.

The Services help you organize dispatch, documents, compliance records, and finances. They do not provide legal, tax, accounting, or regulatory advice, and they do not replace your responsibility to comply with FMCSA, DOT, IFTA, state, and other legal requirements. Reminders and alerts are tools, not guarantees; you remain responsible for deadlines, filings, and safety decisions.

7. Calls and text messages (SMS program)

If you opt in to receive calls and text messages from AthenaIQ, including automated or AI-generated calls:

• Program: AthenaIQ account and customer care messages, and offers, as described when you opted in.
• Frequency: message frequency varies.
• Costs: message and data rates may apply.
• Opt out: reply STOP to any text message to stop receiving texts. Reply HELP for help, or email info@athenaiqtech.com.
• Consent is not a condition of purchase.
• Carriers are not liable for delayed or undelivered messages.
• See our Privacy Policy for how we handle your information. Mobile numbers and consent are never shared or sold to third parties for marketing.

8. Third-party services

The Services may connect to third-party products (for example, payment processors, ELD providers, email, or accounting tools). Your use of those products is governed by their own terms. We are not responsible for third-party products.

9. New and beta features

Features marked as beta, preview, or planned are provided as-is, may change or be removed, and may not be supported.

10. Our intellectual property

We own the Services, including our software, designs, and trademarks. We give you a limited, non-exclusive, non-transferable right to use the Services during your subscription, under these Terms. If you send us feedback or suggestions, we may use them without obligation to you.

11. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Services with reasonable care, and use it only for purposes of these Terms.

12. Availability and support

We work to keep the Services available and secure, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance and will try to give notice of planned downtime. Support is available at info@athenaiqtech.com.

13. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ATHENAIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. ATHENAIQ'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO ATHENAIQ IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You will defend and indemnify AthenaIQ against third-party claims arising from your Customer Data, your violation of these Terms, or your violation of law.

16. Suspension and termination

You may stop using the Services and cancel at any time. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach after notice (or immediately, where needed to prevent harm or comply with law). Sections that by their nature should survive termination will survive.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Cameron County, Texas, and both parties consent to that jurisdiction.

18. Changes to these Terms

We may update these Terms. If we make material changes, we will update the effective date and notify you by email or through the Services at least 15 days before they take effect. Continuing to use the Services after that means you accept the updated Terms.

19. General

These Terms, together with any order form or written agreement you sign with us, are the entire agreement between you and AthenaIQ about the Services. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent. Our failure to enforce a provision is not a waiver.
